Terms of Supply

1. Nature of the Relationship

1.1 The Institution

Aeterna Lab LLC is a Wyoming limited liability company supplying research-grade chemical compounds and peptides to qualified laboratory professionals. The Institution’s principal place of business is 30 N Gould St Ste R, Sheridan, WY 82801, United States.

1.2 The Purchaser

By placing an order through the Institution’s procurement platform at aeternabiolab.com (“the Site”), the purchasing party (“Purchaser,” “you”) enters into a binding supply agreement with the Institution governed by these Terms of Supply. Use of the Site and placement of any order constitutes the Purchaser’s affirmative acknowledgment of and agreement to these Terms.

1.3 Prerequisites

The Institution supplies research professionals. By entering into this agreement, the Purchaser represents that:

  • The Purchaser is at least twenty-one (21) years of age;
  • The Purchaser is a qualified laboratory researcher, scientist, or authorized procurement agent acting on behalf of a legitimate academic institution, research laboratory, pharmaceutical company, biotechnology firm, or similarly qualified organization engaged in lawful scientific inquiry;
  • All information provided in connection with procurement is truthful, accurate, and complete.

2. Research Use Only — Foundational Condition of Supply

2.1 Designation

Every product supplied by Aeterna Lab LLC is designated Research Use Only (RUO). This designation is not a disclaimer appended to the Institution’s products; it is the defining characteristic of every supply relationship the Institution enters into. Products are manufactured, handled, and supplied exclusively as research tools and reference standards for in-vitro laboratory investigation by qualified professionals operating within properly equipped research facilities.

2.2 Scope of Permitted Use

Products supplied by the Institution are authorized solely for in-vitro laboratory research. Any use beyond this narrow scope is unauthorized and constitutes a material breach of these Terms.

2.3 Expressly Prohibited Applications

Products supplied by the Institution are not for, and must not be used for:

  • Human administration of any kind — ingestion, injection, inhalation, topical application, implantation, or any other route of introduction into the human body
  • Veterinary administration or any application involving animals
  • Diagnosis, treatment, mitigation, cure, or prevention of any disease, condition, or disorder
  • Formulation into food, dietary supplements, cosmetics, or personal care products
  • Use as an active pharmaceutical ingredient, excipient, or component of any drug product
  • Incorporation into any clinical trial involving human subjects
  • Any application outside a controlled laboratory environment under the supervision of trained research personnel

2.4 Regulatory Status

Products supplied by the Institution have not been evaluated, reviewed, or approved by the United States Food and Drug Administration or any comparable regulatory authority. They are not FDA-approved drugs, biologics, medical devices, or in-vitro diagnostics. No representation is made that any Product meets regulatory standards for safety, efficacy, purity, or sterility for human or veterinary application.

2.5 Institutional Boundaries

The Institution is not a compounding pharmacy within the meaning of Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. The Institution does not prepare or dispense medications, does not formulate products in response to prescriptions, and does not engage in the practice of pharmacy or medicine. Nothing on the Site or in any communication from the Institution should be construed as medical advice, diagnostic guidance, or a recommendation for therapeutic application.

2.6 Product Characteristics

Unless explicitly stated in a Product-specific certificate of analysis or specification document, Products have not undergone sterilization procedures, and no safety testing has been conducted for human or veterinary application. Products are manufactured for laboratory research use and may exhibit characteristics — including the presence of impurities or degradation products — that render them unsuitable and unsafe for any application beyond in-vitro research.

2.7 No Therapeutic Representations

The Institution makes no therapeutic, preventative, or diagnostic claims of any kind regarding its Products. No statement on the Site or in Institution communications has been evaluated by the FDA. The Institution does not provide guidance on dosage, administration protocols, treatment regimens, or any other aspect of human or veterinary application.

3. Purchaser Qualification Standards

3.1 Professional Competency

The Purchaser affirms possession of the professional knowledge, technical training, laboratory equipment, and facility infrastructure necessary to safely receive, handle, store, use, and dispose of research chemicals in accordance with all applicable laws, regulations, and institutional safety protocols.

The Purchaser affirms that the procurement and intended use of Products complies with all applicable federal, state, and local laws, regulations, and ordinances in the Purchaser’s jurisdiction. The Purchaser bears sole responsibility for determining the legality of procurement, possession, and use within the destination jurisdiction.

3.3 Verification and Discretion

The Institution reserves the right to request verification of the Purchaser’s age, identity, professional standing, and institutional affiliation. The Institution further reserves the right, in its sole discretion, to decline any order, suspend any account, or terminate any supply relationship — including where concerns arise regarding the intended use of Products, the Purchaser’s qualifications, or compliance with these Terms.

4. Product Specification and Disclaimer

Products are supplied on an “as is” and “as available” basis. The Institution disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. No warranty is made regarding the safety, efficacy, purity, or sterility of any Product for any application beyond in-vitro research. Product descriptions, specifications, certificates of analysis, and associated documentation are provided for informational purposes; the Institution does not guarantee their accuracy, completeness, or currency.

No advice or information obtained from the Institution, whether oral or written, creates any warranty not expressly stated in these Terms.

5. Procurement, Pricing, and Payment

5.1 Order Acceptance

Submission of an order constitutes an offer to purchase. Order acceptance occurs upon shipment; an order confirmation communication does not constitute acceptance. The Institution reserves the right to accept or decline any order, in whole or in part.

5.2 Pricing

Prices displayed at the time of order placement are honored upon the Institution’s acceptance of the order. Prices on the Site are otherwise subject to change without notice. In the event of a demonstrable pricing error, the Institution reserves the right to cancel the affected order irrespective of whether confirmation or payment processing has occurred.

5.3 Payment

Payment is due upon order placement through the methods presented at checkout. The Purchaser represents authorization to use the selected payment method. All payment processing is conducted through PCI-compliant third-party gateways.

5.4 Taxation

The Purchaser is responsible for all applicable sales, use, value-added, excise, and equivalent taxes arising from procurement, exclusive of taxes assessed on the Institution’s net income.

6. Shipping, Title, and Risk

6.1 Shipping Method Selection

Shipping options, including tracked and untracked services, are presented at checkout. The Purchaser is responsible for selecting an appropriate shipping method; the implications of that selection are addressed in the Institution’s Product & Order Policy, which is incorporated herein by reference.

6.2 Transfer of Title and Risk

Title to Products and risk of loss transfer to the Purchaser upon delivery to the shipping carrier. The Institution is not liable for carrier-caused delays, damage, or loss.

6.3 Product & Order Policy

All matters concerning returns, refunds, reshipment, damaged goods, and order cancellation are governed by the Institution’s Product & Order Policy, incorporated into these Terms by reference. All sales are final. Purchasers are advised to review the Product & Order Policy prior to placing an order.

7. Intellectual Property

All content published on the Site — including text, graphics, logos, product descriptions, and the “Aeterna Lab” mark — is the exclusive property of the Institution or its licensors, protected under United States and international intellectual property law. Reproduction, distribution, modification, display, or derivative use of Site content without the Institution’s prior written consent is prohibited.

8. Limitation of Liability

8.1 Scope of Limitation

To the fullest extent permitted by applicable law, the Institution, its members, managers, officers, personnel, affiliates, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible loss — arising from or relating to:

  • Use of or inability to use the Site
  • Procurement, handling, storage, use, or disposal of any Product
  • Conduct of any third party on the Site
  • Unauthorized access to or alteration of Purchaser data

8.2 Aggregate Liability Cap

The Institution’s aggregate liability for all claims arising from or relating to these Terms or any Product supplied hereunder shall not exceed the total amount paid by the Purchaser for the specific Product giving rise to the claim.

8.3 Basis of Bargain

The limitations set forth in this Section 8 are fundamental elements of the supply relationship between the Institution and the Purchaser. The Institution’s pricing and willingness to supply Products reflect and depend upon these limitations.

9. Indemnification

The Purchaser agrees to indemnify, defend, and hold harmless the Institution, its members, managers, officers, personnel, affiliates, agents, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable legal fees) arising from or relating to:

  • Breach of these Terms or any representation, warranty, or covenant contained herein
  • Use, misuse, handling, storage, disposal, or transfer of any Product — including any use inconsistent with the RUO designation
  • Violation of any applicable law, regulation, or third-party right
  • Any claim that the Purchaser’s use of a Product caused injury, damage, or loss to person or property

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and any dispute arising from or relating to them shall be governed by and construed under the laws of the State of Wyoming, without reference to conflict-of-law principles.

10.2 Forum

Any legal action arising from or relating to these Terms shall be brought exclusively in the state courts of Sheridan County, Wyoming, or the United States District Court for the District of Wyoming. The Purchaser irrevocably consents to the personal jurisdiction and venue of such courts.

10.3 Class Action Waiver

All dispute resolution proceedings shall be conducted on an individual basis only, and not in any class, consolidated, or representative capacity. The Purchaser waives any right to participate in a class action lawsuit or class-wide arbitration.

11. Amendment

The Institution reserves the right to amend these Terms at any time. Amendments take effect upon publication to the Site. The “Last Revised” date above reflects the most recent amendment. Continued procurement following amendment constitutes acceptance of the revised Terms. Purchasers engaged in ongoing relationships with the Institution are responsible for periodic review.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Data Governance & Privacy Framework and the Product & Order Policy, constitute the complete agreement between the Purchaser and the Institution regarding the Site and Products, superseding all prior or contemporaneous communications and understandings.

12.2 Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be unenforceable, that provision shall be limited or severed to the minimum extent necessary, and all remaining provisions shall continue in full force and effect.

12.3 Non-Waiver

The Institution’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of the right to enforce it subsequently. Any waiver must be in writing and executed by an authorized representative of the Institution.

12.4 Force Majeure

The Institution shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control — including but not limited to natural disaster, war, terrorism, civil unrest, labor action, supply chain interruption, epidemic, pandemic, or governmental action.

12.5 Assignment

The Purchaser may not assign or transfer rights or obligations under these Terms without the Institution’s prior written consent. The Institution may assign these Terms without restriction.
