Research Use Only Policy

1. Purpose and Standing of This Policy

Aeterna Lab LLC (“Aeterna Lab,” “the Institution,” “we,” “us,” “our”) supplies research-grade chemical compounds and peptides to qualified laboratory professionals through its procurement platform at aeternabiolab.com (“the Site”). This Research Use Only Policy (“Policy”) defines the sole and exclusive terms under which the products supplied by the Institution (“Products”) may be procured, received, possessed, handled, and used. It applies to every Product, every order, and every party that accesses the Site or acquires a Product, without exception.

The Research Use Only (“RUO”) designation is not a disclaimer appended to the Institution’s Products. It is the foundational condition of every supply relationship the Institution enters into, the premise on which every Product is manufactured and supplied, and a basis on which the Institution’s pricing and willingness to supply are calculated. This Policy is incorporated into, and forms an inseparable part of, the Institution’s Terms of Supply. By accessing the Site, creating an account, placing an order, or accepting delivery of any Product, you acknowledge that you have read, understood, and agree to be bound by this Policy in its entirety.

2. Meaning of the Research Use Only Designation

Every Product supplied by the Institution is designated Research Use Only. Products are manufactured, characterized, handled, and supplied exclusively as research tools and analytical reference standards for in-vitro laboratory investigation by qualified professionals operating within properly equipped and appropriately controlled research facilities.

The RUO designation means each of the following, without limitation:

  • Products are intended solely for laboratory research conducted outside a living organism (in-vitro).
  • Products are not drugs, biologics, medical devices, in-vitro diagnostic products, dietary or nutritional supplements, food, cosmetics, or consumer products of any kind.
  • Products are not intended, and are not supplied, for any use in or on the body of a human being or animal.
  • Products have not been manufactured, tested, or released under the standards that would be required for any human, clinical, veterinary, diagnostic, or therapeutic application.
  • The Institution makes no representation that any Product is safe or effective for any purpose other than in-vitro laboratory research.

3. Permitted Use

Products supplied by the Institution are authorized for one purpose only: in-vitro laboratory research carried out by qualified researchers within an appropriately equipped research facility, in compliance with all applicable laws, regulations, and institutional safety protocols. Any use, transfer, resale, repackaging, or application beyond this narrow scope is unauthorized, falls entirely outside the terms on which the Product was supplied, and constitutes a material breach of this Policy and of the Institution’s Terms of Supply.

4. Prohibited Uses

Products supplied by the Institution are not for, and must not be used for, any of the following. This list is illustrative and not exhaustive; any application beyond in-vitro laboratory research is prohibited whether or not it is enumerated here.

  • Administration to human beings by any route whatsoever — including ingestion, injection, infusion, inhalation, insufflation, sublingual or buccal absorption, topical or transdermal application, implantation, or any other means of introduction into or onto the human body;
  • Administration to, or use in or on, any animal, whether for veterinary, agricultural, or any other purpose;
  • The diagnosis, cure, mitigation, treatment, or prevention of any disease, condition, symptom, or disorder in humans or animals;
  • Any clinical, therapeutic, cosmetic, or nutritional use, including any use directed by a physician or other practitioner and any compounding of the Product;
  • Formulation or incorporation into any food, beverage, dietary or nutritional supplement, cosmetic, personal-care product, or consumer product;
  • Use as, or incorporation into, an active pharmaceutical ingredient, excipient, finished drug product, biologic, or medical device;
  • Use in any clinical trial, or in any study or procedure involving human subjects, or in the diagnostic testing of human or animal specimens;
  • Resale, distribution, gifting, or transfer to any person who is not a qualified researcher, or to any person the Purchaser knows or reasonably should know intends any prohibited use;
  • Any use outside a controlled laboratory environment, or by or under the supervision of any person who is not trained research personnel;
  • Any use that violates any applicable federal, state, local, or foreign law or regulation.

5. Regulatory Status

Products supplied by the Institution have not been evaluated, reviewed, cleared, or approved by the United States Food and Drug Administration (“FDA”) or by any comparable regulatory authority in any jurisdiction. No Product is an FDA-approved drug, biologic, medical device, or in-vitro diagnostic. No statement made on the Site, in any certificate of analysis, or in any communication from the Institution has been evaluated by the FDA, and no such statement is intended to diagnose, treat, cure, or prevent any disease. No representation is made that any Product satisfies any regulatory standard for safety, efficacy, purity, or sterility for human or veterinary application.

6. Not a Pharmacy; No Medical Advice

The Institution is not a pharmacy and is not a compounding pharmacy or outsourcing facility within the meaning of Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. The Institution does not prepare, compound, or dispense medications, does not fill prescriptions, and does not engage in the practice of pharmacy or medicine. Nothing on the Site or in any communication from the Institution constitutes medical, veterinary, diagnostic, or health advice, a recommendation for any therapeutic application, or guidance on dosage, administration, or treatment. The Institution provides no such guidance under any circumstance and assumes no duty to do so.

7. Product Characteristics and Limitations

Unless expressly stated in a Product-specific certificate of analysis or specification document, Products have not been sterilized and no safety testing has been conducted for any human or veterinary application. Products are research chemicals that may exhibit characteristics — including impurities, residual solvents, degradation products, or handling hazards — that render them unsuitable and unsafe for any use beyond in-vitro research. Certificates of analysis, chromatographic data, purity determinations, and related documentation are provided solely to characterize a Product for research purposes and do not constitute a representation that a Product is fit for any human, veterinary, diagnostic, or therapeutic use.

8. Purchaser Eligibility and Representations

Access to the Site and procurement of Products is restricted to qualified persons. By accessing the Site, creating an account, or placing an order, you represent and warrant, on your own behalf and on behalf of any organization for which you act, that:

  • You are at least twenty-one (21) years of age;
  • You are a qualified laboratory researcher, scientist, or authorized procurement agent acting on behalf of a legitimate academic institution, research laboratory, pharmaceutical company, biotechnology firm, or similarly qualified organization engaged in lawful scientific research;
  • You possess the professional knowledge, technical training, facilities, and equipment necessary to receive, handle, store, use, and dispose of research chemicals safely and lawfully;
  • You are procuring Products solely for in-vitro laboratory research and for no prohibited use;
  • The procurement, possession, and intended use of the Products complies with all laws and regulations applicable in your jurisdiction, and you bear sole responsibility for determining that legality;
  • All information you provide to the Institution is truthful, accurate, and complete.

9. Acknowledgment Required at Purchase

As a condition of every order, the Purchaser is required to affirmatively acknowledge the Research Use Only designation and the restrictions set out in this Policy. Completion of the checkout process and acceptance of any Product constitute the Purchaser’s binding attestation that the Product will be used solely for in-vitro laboratory research, that the Purchaser meets the eligibility criteria in Section 8, and that the Purchaser accepts every term of this Policy. This attestation is a material inducement to the Institution’s supply of the Product, and the Institution supplies Products in reliance upon it.

10. Purchaser Responsibilities After Delivery

From the moment a Product is delivered to the carrier, the Purchaser assumes full and exclusive responsibility for the Product’s safe and lawful custody, storage, handling, use, labeling, and disposal, in accordance with all applicable laws, regulations, and recognized laboratory safety practices. The Purchaser is solely responsible for ensuring that every person who accesses a Product is a qualified researcher and that no Product reaches any person or use prohibited by this Policy. The Purchaser must preserve each Product’s labeling identifying it as Research Use Only and must not remove, obscure, or alter that designation.

11. Assumption of Risk

The Purchaser understands that research chemicals are inherently hazardous and that their handling and use carry risk. To the fullest extent permitted by law, the Purchaser knowingly and voluntarily assumes all risk arising from the receipt, possession, handling, storage, use, and disposal of any Product, including any risk arising from any use inconsistent with the Research Use Only designation, whether that use is by the Purchaser or by any third party into whose possession the Product passes.

12. No Warranties

Products are supplied on an “as is” and “as available” basis. To the fullest extent permitted by law, the Institution disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, the Institution makes no warranty of any kind that any Product is safe, effective, pure, or sterile for any human, veterinary, diagnostic, or therapeutic use, and any such use is expressly outside the scope of any warranty. No advice or information, whether oral or written, obtained from the Institution creates any warranty not expressly stated in the Institution’s Terms of Supply.

13. Limitation of Liability

To the fullest extent permitted by applicable law, the Institution, its members, managers, officers, personnel, affiliates, agents, and suppliers shall not be liable for any injury, death, loss, or damage of any kind — whether direct, indirect, incidental, special, consequential, exemplary, or punitive — arising from or relating to any Product, including any use, misuse, handling, storage, or disposal of a Product, and including in particular any use of a Product inconsistent with the Research Use Only designation. The Institution’s aggregate liability for all claims arising from or relating to any Product shall not exceed the amount paid by the Purchaser for the specific Product giving rise to the claim. These limitations are a fundamental basis of the bargain between the Institution and the Purchaser and apply even if any limited remedy is found to have failed of its essential purpose.

14. Indemnification

The Purchaser agrees to indemnify, defend, and hold harmless the Institution, its members, managers, officers, personnel, affiliates, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or relating to: (a) any use, misuse, handling, storage, disposal, resale, or transfer of any Product, including any use inconsistent with the Research Use Only designation; (b) any breach of this Policy or of any representation or warranty made by the Purchaser; (c) any violation by the Purchaser of any applicable law, regulation, or third-party right; and (d) any claim that a Product caused injury, death, loss, or damage to any person or property following its delivery to the carrier.

15. Compliance, Verification, and Right to Refuse

The Institution reserves the right, in its sole discretion, to request verification of a Purchaser’s age, identity, professional standing, and institutional affiliation, and to decline any order, cancel any transaction, suspend or terminate any account, or refuse any supply relationship — including where the Institution has any concern regarding the intended use of a Product, the Purchaser’s qualifications, or compliance with this Policy. The Institution may take these actions before or after an order is placed and is under no obligation to state its reasons.

16. Relationship to Other Policies

This Policy supplements and is incorporated into the Institution’s Terms of Supply, and is to be read together with the Institution’s Product & Order Policy and Data Governance & Privacy Framework. In the event of any conflict between this Policy and another Institution policy with respect to the Research Use Only designation or the permitted and prohibited uses of Products, the more restrictive provision governs. Capitalized terms not defined in this Policy have the meanings given to them in the Terms of Supply.

17. Governing Law and Dispute Resolution

This Policy and any dispute arising from or relating to it are governed by and construed under the laws of the State of Wyoming, without reference to conflict-of-law principles. Any legal action arising from or relating to this Policy shall be brought exclusively in the state courts of Sheridan County, Wyoming, or the United States District Court for the District of Wyoming, and the Purchaser irrevocably consents to the personal jurisdiction and venue of those courts. All dispute resolution proceedings shall be conducted on an individual basis only, and not in any class, consolidated, or representative capacity.

18. Severability and Amendment

If any provision of this Policy is held by a court of competent jurisdiction to be unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. The Institution reserves the right to amend this Policy at any time; amendments take effect upon publication to the Site, and the “Effective” date above reflects the most recent revision. Continued use of the Site or procurement of Products following amendment constitutes acceptance of the revised Policy.
